endeavor to provide our
Clients with quality services at affordable rates in order to fulfill
their
editorial needs. We also attempt to do so in an honest and transparent
manner.
For both our own protection and that of the Client, however, we feel
obliged to
post the following Legal Agreement. Please read it carefully. Present
Perfect
Editing
Present
Perfect Editing provides
services to you, the Client, subject to the following terms and
conditions.
When you engage us for such services, you accept these terms and
conditions. Submissions &
Electronic Communications
By
corresponding with Present Perfect
Editing via email, you are communicating with us electronically. You
consent to
receive communications from us in this manner and agree that they
satisfy any
legal requirement that communications be in writing.
Submitting
a document via email to
Present Perfect Editing for services to be performed constitutes
acknowledgement
by the Client that he/she has read and accepted the provisions
specified in
this agreement. Confidentiality Documents
and their contents submitted by the Client to Present Perfect Editing
for
services shall be handled confidentially and considered to be
Proprietary
Information. In
order to perform such services, these documents and their contents may
be
revealed to members of our staff assigned to the project for various
purposes,
as we deem necessary. Associated tasks which require such access may
include,
without being limited to, proofreading, editing, analysis,
consultation,
customer service, financial accounting, and other functions, at our
discretion.
All staff members who are granted access for any purpose are required
to sign a
strict We do
not normally retain submitted documents for more than thirty days after
work
upon those documents has been completed and delivered to the Client.
For
customer service use and legal requirements (accounting records,
audits,
taxation, etc.), information associated with completed orders is
retained. Except
as described here, the Client’s documents and any information contained
therein
will not be disclosed, nor will personal Client information be shared
with, any
third party unless required to do so by lawful warrant, court order, or
subpoena. Should
ownership of Present Perfect Editing be transferred to another entity,
the
Client information we retain would form part of our business records
transferred to that entity, but the new owner will remain bound by this
confidentiality
policy. Copyright
Clients
submitting material to Present
Perfect Editing for services to be performed retain copyright to that
material,
and Present Perfect Editing does not claim any rights to such material
by
virtue of supplying its services. Nor does Present Perfect Editing
require any
credit or acknowledgment for such services except the fees clearly
described on
this site.
You
represent and warrant that you hold
all legal rights to any document or material submitted to Present
Perfect
Editing for services, because (1) as the author, you retain these
rights, or (2)
you have legally obtained control of such rights; and
you
further indemnify Present Perfect Editing from all claims resulting
from any
material you supply. Present Perfect Editing assumes no liability for
any
Client submission.
Our
work on any document does not imply
our endorsement of its content, and we prohibit the association of
Present
Perfect Editing or its personnel with any published work, even as an
acknowledgment of services rendered.
Present
Perfect Editing provides advice
on changes that you, the Client, may accept, reject, or amend. Content
of any
finished work is therefore entirely the responsibility of the Client or
those
to whom the Client assigns final control.
Written
comments generated in the
course of our work are intended solely for the personal use of the
Client and
those the Client assigns to the relevant project. They are not
permitted to be
reproduced or disseminated to a broader extent. Pricing &
Billing
Present
Perfect Editing makes a sincere
effort to set forth transparent Pricing
and Billing
practices, as
detailed in other sections of this site, and the information contained
in those
sections at the time a submission is made by the Client is intended to
govern
the transaction with respect to that submission. That effort and
transparency
notwithstanding, in the event of any dispute regarding such practices,
the
policy set forth herein shall supersede all others.
Our
pricing and billing policies are
subject to change without notice.
The
category in which a submitted
document is placed for pricing, plus any and all discounts or other
considerations with regard to pricing, is determined and granted at the
sole
discretion of Present Perfect Editing.
Although
Present Perfect Editing is
dedicated to providing outstanding editing and proofreading services at
reasonable rates, it is not obligated to refund the purchase price
(either in
part or in full) of any service under any circumstance. A request for a
refund
or correction of an invoice must be made within seven days of Client’s
receipt
of the relevant invoice.
Payment
is due when an invoice is sent
and must be received by Present Perfect Editing within seven days.
Payments
that are not received within the specified time may be subject to late
fees,
administrative charges, and assessed interest.
Present
Perfect Editing reserves the
right to request payment prior to delivery of service, to refuse
service, or to
cancel orders at its sole discretion. Disclaimer of
Warranties & Limitations
of Liability Present
Perfect Editing strives to be as accurate as possible; however, it does
not
warrant that the services performed for its Clients or the products
which
result are free from error. Those services and the resulting products
are provided
on an “as is” and “as available” basis and at your sole
risk.
Present
Perfect Editing disclaims all
warranties and conditions, expressed or implied, with respect to its
services
and with respect to a resulting product’s fitness for a particular
purpose or
merchantability.
In no
event is Present Perfect Editing,
its management, or staff liable for any damages whatsoever (including,
without
limitation, direct, incidental, or consequential damages, lost profits,
or
damages resulting from lost data, breach of confidentiality, or
business
interruption) ensuing from the performance of our services, whether
Present
Perfect Editing is advised of the possibility of such damages or not.
In no
event is Present Perfect Editing liable for damages in excess of the
amount
paid by a customer for the service in question.
While
we endeavor to ensure that any
files originating at this site or associated with our email
correspondence are
free from known computer viruses, we make no warranty or guarantee that
they
are. All Clients are cautioned to check all email, attachments, and
other
computer files before accessing them; and any and all risk of virus
contamination is assumed by the recipient.
If you
are dissatisfied with any work
completed or performed by Present Perfect Editing, or with any of these
terms
and conditions, your sole remedy is to discontinue using our services. Other
This
agreement is governed by the laws
of the State of Florida, and any legal action against Present Perfect
Editing
shall take place in the courts of that state.
If any
provision of this agreement
shall be for any reason unenforceable, then that provision shall be
deemed
severable from this agreement and shall not affect the validity and
enforceability of any remaining provisions. Entire
Agreement This is the Client’s entire agreement with Present Perfect Editing with respect to its services. This agreement may not be modified except by written amendment signed by a duly authorized representative of Present Perfect Editing. |
